Terms of Service

The short version: Re(pass) is a personalised meal membership. You pay monthly, we send you daily picks from quality fast-casual restaurants, you redeem them with a QR code. Treat the service respectfully, keep your account details accurate, and we'll keep delivering great lunches. Any disputes are handled in New York.

1. Acceptance of Terms

By accessing or using the Re(pass) website, mobile application, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Repass App LLC ("Re(pass)," "we," "us," or "our"), a Delaware limited liability company.

2. The Service

Re(pass) is a subscription meal membership platform that provides members with personalised daily meal picks at partnered fast-casual restaurants in New York City. Members redeem picks using a QR code generated in the Re(pass) app at the point of pickup.

The Service is currently available in New York City only. Availability in additional cities may be added in the future at our discretion.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement. The Service is intended for personal, non-commercial use, unless and until you access it through a corporate membership agreement with Re(pass) (see Section 8 — corporate memberships are not currently available).

4. Accounts and Registration

To use the Service you must create an account. You agree to:

You are responsible for all activity that occurs under your account. Re(pass) is not liable for any loss resulting from unauthorised use of your account.

5. Membership Plans and Billing

Plans

Re(pass) offers three individual membership tiers — Bite, Regular, and All-In — each with a different number of daily meal swipes and monthly price. Plan details and pricing are displayed at repassapp.com/pricing and may be updated from time to time with notice to existing members.

Billing

Membership fees are billed in advance on a monthly or annual basis depending on your selected billing cycle. All payments are processed securely by Stripe.

Automatic renewal: By subscribing, you authorise Re(pass) to charge your payment method automatically at the start of each billing period — monthly for monthly plans, annually for annual plans — until you cancel. Annual plans renew for another full year unless cancelled before the renewal date; we will email you a reminder before your annual plan renews.

Price changes

We may change membership prices at any time. We will give you at least 30 days' notice before any price change takes effect. Continued use of the Service after a price change constitutes your acceptance of the new price.

Refunds

Membership fees are non-refundable except where required by applicable law. If you cancel mid-cycle, you retain access to the Service until the end of your current billing period. We do not offer prorated refunds for unused swipes.

Failed payments

If a payment fails, we will attempt to process it again. If payment cannot be collected, your membership may be suspended or cancelled until payment is resolved.

Cancellation

You may cancel your membership at any time through the app under Account → Settings → Cancel membership, or by contacting us at repass@repassapp.com. Cancellation takes effect at the end of your current billing period. You will not be charged for the following period.

Pausing

You may pause your membership for up to 30 days per calendar year. During a pause, you will not be billed and will not have access to swipes. Your membership resumes automatically at the end of the pause period unless you cancel.

Cancellation by Re(pass)

We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or abuse the Service. In such cases, no refund will be issued.

8. Corporate Memberships

Corporate membership plans are not currently available. Re(pass) intends to offer corporate membership plans in the future for teams and employers who wish to provide Re(pass) as an employee benefit. Once launched, corporate memberships will be governed by a separate Corporate Client Agreement entered into between Re(pass) and the employer, in addition to these Terms.

When available, employees accessing Re(pass) through a corporate account will be subject to these Terms of Service in addition to any terms set by their employer, and corporate accounts will be billed directly to the employer on an invoiced basis rather than through individual member billing.

9. Restaurant Partners and Meal Availability

Re(pass) works with a network of fast-casual restaurant partners to provide daily picks. The partner network is subject to change — restaurants may be added or removed at any time. Re(pass) does not guarantee the availability of any specific restaurant or meal.

Meal availability is subject to restaurant operating hours, stock availability, and other factors outside Re(pass)'s control. If a pick becomes unavailable, Re(pass) will notify you and offer an alternative or a replacement swipe at no charge.

Re(pass) is an independent membership platform and is not affiliated with, endorsed by, or in any official partnership with any restaurant brand mentioned on our website as illustrative examples unless explicitly confirmed in writing.

10. Dietary Information and Allergens

Re(pass) filters daily picks based on the dietary profile you provide in the app. However:

Re(pass) may offer a referral program allowing members to invite friends using a unique referral code or link. Unless otherwise stated in the app, current terms are:

The Service may let you suggest restaurants for Re(pass) to consider as future partners, and rate or leave feedback on meals and partner restaurants you've used ("User Submissions").

Violation of these rules may result in immediate account suspension or termination without refund.

14. Intellectual Property

All content, branding, design, software, and materials associated with Re(pass) — including the name "Re(pass)," the logo, the app, and the website — are the property of Repass App LLC and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use the Service for your personal use only. Nothing in these Terms grants you any right to use Re(pass)'s intellectual property for any other purpose.

15. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Re(pass) does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by applicable law, Re(pass) shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to loss of data, lost profits, or personal injury.

Re(pass)'s total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the total amount you paid to Re(pass) in the three months preceding the claim.

16. Indemnification

You agree to indemnify, defend, and hold harmless Re(pass), its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.

Before initiating any legal proceeding, you agree to contact us at repass@repassapp.com and give us 30 days to attempt to resolve the dispute informally.

18. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you may cancel your membership before the changes take effect.
